1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Broker," "you," or "your") and Preveio, operating as Preve.io ("Company," "we," "us," or "our"). By creating an account, accessing, or using the Preve.io platform (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.
If you are entering into these Terms on behalf of a brokerage, firm, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms. In that case, "you" refers to that entity.
We may update these Terms from time to time. We will notify you of material changes by email or in-app notification at least thirty (30) days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
2. Description of Service
Preve.io is a mortgage broker intelligence platform. The Service extracts financial data from uploaded mortgage documents using artificial intelligence and matches applicant profiles against lender-specific underwriting criteria. The Service provides directional assessments to assist brokers in evaluating potential lender matches.
The Service is a decision-support tool designed to assist licensed mortgage professionals. It does not provide legal advice, financial advice, lending advice, mortgage brokering services, or any form of professional recommendation. Match results are directional assessments based on published lender guidelines and should not be relied upon as the sole basis for lending decisions. You are solely responsible for independently verifying all information and exercising your own professional judgment.
We do not guarantee the accuracy, completeness, or timeliness of lender criteria, match results, or extracted data. Lender underwriting guidelines change frequently and may not be reflected in the Service in real time.
3. Eligibility
The Service is available only to individuals who are: (a) at least 18 years of age; (b) licensed mortgage brokers, agents, or authorized representatives of a licensed brokerage in Canada or the United States; and (c) capable of forming a binding legal agreement. By using the Service, you represent and warrant that you meet all eligibility requirements.
4. Account Registration and Security
You must create an account to use the Service. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activity that occurs under your account.
You must enable multi-factor authentication (MFA) when prompted. You must notify us immediately at support@preveio.com if you become aware of any unauthorized use of your account.
5. Subscription, Payment, and Cancellation
Access to the Service requires a paid subscription. Subscription plans, pricing, and features are described on our pricing page and may be updated from time to time. All fees are quoted in Canadian dollars unless otherwise stated.
Subscriptions renew automatically at the end of each billing period unless cancelled. You may cancel your subscription at any time through the account settings in the Service. Upon cancellation, you will retain access to the Service through the end of your current billing period. No refunds will be issued for partial billing periods.
All fees are exclusive of applicable taxes. You are responsible for any sales tax, GST/HST, VAT, or other taxes applicable to your subscription.
6. Acceptable Use
You agree to use the Service only for its intended purpose: assisting with mortgage application analysis and lender matching in the course of your licensed mortgage brokerage activities. You agree not to:
- Upload documents without obtaining all necessary consents from the applicant, including consent for AI-powered processing of their personal information.
- Upload fabricated, altered, or fraudulent documents.
- Use the Service to circumvent anti-money laundering (AML) or know-your-customer (KYC) requirements.
- Attempt to reverse-engineer, decompile, or disassemble any aspect of the Service.
- Use the Service in violation of any applicable law, regulation, or professional licensing requirement.
- Share your account credentials or allow unauthorized third parties to access your account.
- Use any automated system (bot, scraper, spider) to access the Service.
- Interfere with or disrupt the integrity or performance of the Service.
7. Client Data and Consent Obligations
You are responsible for obtaining all necessary consents from your clients before uploading their documents to the Service. This includes, at minimum, informed consent for: (a) the collection and processing of their personal information, including sensitive personal information such as Social Insurance Numbers, Social Security Numbers, income data, and banking information; (b) the transmission of their data to third-party sub-processors as described in our Privacy Policy; and (c) the use of artificial intelligence to analyze their documents.
You represent and warrant that you have obtained all required consents and that your use of the Service complies with all applicable privacy legislation, including PIPEDA (Canada), CCPA/CPRA (California), and any other applicable privacy laws.
8. Intellectual Property
The Service, including its software, algorithms, user interface, documentation, and all related intellectual property, is and remains the exclusive property of Preveio. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.
You retain all rights to the documents and data you upload to the Service ("Your Content"). We claim no ownership over Your Content.
9. Data License
You grant Preve.io a limited, non-exclusive, non-transferable license to process Your Content solely to provide and operate the Service. This license includes the right to store, transmit, and process Your Content as necessary to perform document extraction, classification, validation, and lender matching.
We do not use Your Content, including uploaded documents or extracted data, to train artificial intelligence or machine learning models. We do not sell, rent, or share Your Content with third parties except as necessary to provide the Service through our sub-processors, as described in our Privacy Policy.
This license terminates when you delete Your Content or terminate your account, subject to our data retention obligations described in our Privacy Policy.
10. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE; (C) THE LENDER CRITERIA, MATCH RESULTS, OR EXTRACTED DATA WILL BE CURRENT OR FREE FROM ERRORS; OR (D) ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.
YOU ACKNOWLEDGE THAT THE SERVICE USES ARTIFICIAL INTELLIGENCE FOR DOCUMENT PROCESSING AND THAT AI OUTPUTS MAY CONTAIN ERRORS. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL EXTRACTED DATA AND MATCH RESULTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Preveio, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF Preve.io FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL FEES PAID BY YOU TO Preve.io IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED CANADIAN DOLLARS (CAD $100), WHICHEVER IS GREATER.
THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Preve.io, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:
- Your violation of these Terms or any applicable law or regulation.
- Your use of the Service in connection with lending decisions, including any claim by a client, applicant, lender, or third party.
- Inaccurate, fraudulent, or misleading information or documents you submit through the Service.
- Your failure to obtain required consents from your clients for the processing of their personal information.
- Any allegation that Your Content infringes or violates the intellectual property or privacy rights of any third party.
13. Not Financial, Legal, or Professional Advice
The Service is a technology tool that provides directional assessments. Nothing in the Service constitutes financial advice, legal advice, mortgage advice, lending recommendations, or any other form of professional advice. Match results do not constitute a commitment or guarantee from any lender.
You are a licensed professional and are solely responsible for: (a) verifying all extracted data against source documents; (b) confirming lender criteria with your Business Development Manager (BDM) or lender representative before submitting applications; (c) exercising independent professional judgment in all lending decisions; and (d) complying with all applicable professional standards and regulations.
14. Confidentiality
Each party agrees to maintain the confidentiality of the other party's confidential information and to use it only for the purposes contemplated by these Terms. Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was known to the receiving party prior to disclosure; (c) is independently developed by the receiving party without reference to the disclosing party's confidential information; or (d) is lawfully obtained from a third party without restriction.
15. Term and Termination
These Terms are effective when you create an account and remain in effect until terminated. Either party may terminate these Terms at any time. You may terminate by cancelling your subscription and deleting your account. We may terminate or suspend your access to the Service immediately, without prior notice, if you breach these Terms.
Upon termination: (a) your right to access the Service ceases immediately; (b) we will delete Your Content in accordance with our Privacy Policy; and (c) any provisions that by their nature should survive termination will survive, including Sections 8 (Intellectual Property), 10 (Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), 14 (Confidentiality), and 17 (Dispute Resolution).
16. Force Majeure
Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) to the extent caused by events beyond its reasonable control, including but not limited to: acts of God, natural disasters, pandemics, epidemics, fire, flood, earthquake, war, terrorism, civil unrest, government actions or regulations, internet or telecommunications failures, power outages, failures of third-party hosting or cloud infrastructure providers, or denial-of-service attacks.
The affected party must promptly notify the other party of the force majeure event and use reasonable efforts to mitigate its effects. If a force majeure event continues for more than sixty (60) days, either party may terminate these Terms upon written notice.
17. Dispute Resolution
The parties agree to attempt to resolve any dispute arising out of or relating to these Terms through good-faith negotiation. If a dispute cannot be resolved through negotiation within thirty (30) days, the following procedures apply:
(a) Canadian Users. For users located in Canada, any dispute that cannot be resolved through negotiation shall first be submitted to mandatory mediation administered by the ADR Institute of Ontario. If mediation is unsuccessful within sixty (60) days, either party may commence litigation in the courts of the Province of Ontario, and the parties irrevocably submit to the exclusive jurisdiction of those courts. These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
(b) United States Users. For users located in the United States, any dispute that cannot be resolved through negotiation shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Toronto, Ontario, Canada, or at another mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. EACH PARTY WAIVES THE RIGHT TO A JURY TRIAL. YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against Preve.io.
18. General Provisions
Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and any applicable Data Processing Agreement, constitute the entire agreement between you and Preve.io regarding the Service and supersede all prior agreements and understandings.
Severability. If any provision of these Terms is found to be unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver. The failure of either party to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment. You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.
